Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website www.automationarchitechs.io (the “Site”) and the services provided by Automation Architechs (“we,” “us,” or “our”). By accessing or using our Site or engaging our services, you agree to be bound by these Terms.

If you do not agree to these Terms, do not access the Site or use our services.

1. Services

Automation Architechs provides AI automation, AI adoption, and AI implementation services for businesses (“Services”). The specific scope, deliverables, timeline, and pricing for any engagement will be defined in a separate Statement of Work (“SOW”) or service agreement between you and Automation Architechs.

These Terms apply to your use of the Site and serve as the general framework for all engagements. In the event of a conflict between these Terms and a signed SOW, the SOW will govern for that specific engagement.

2. Eligibility

By using our Site or engaging our Services, you represent and warrant that:

• You are at least 18 years of age.
• You have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.
• Your use of the Site and Services will comply with all applicable laws and regulations.

3. Use of the Site

Permitted Use

You may use our Site for lawful purposes and in accordance with these Terms. You may browse our content, submit inquiries through our contact forms, and access any resources we make available.

Prohibited Use

You agree not to:

• Use the Site in any way that violates applicable local, state, national, or international laws or regulations.
• Attempt to gain unauthorized access to any part of the Site, other accounts, computer systems, or networks connected to the Site.
• Use any automated system, including bots, scrapers, or data mining tools, to access the Site for any purpose without our express written permission.
• Introduce viruses, trojans, worms, or other malicious or technologically harmful material.
• Interfere with or disrupt the integrity or performance of the Site.
• Impersonate or attempt to impersonate Automation Architechs, an Automation Architechs employee, or any other person or entity.
• Use the Site to transmit unsolicited commercial communications.

4. Intellectual Property

Our Intellectual Property

All content on the Site — including text, graphics, logos, images, software, and the overall design — is the property of Automation Architechs or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise use any content from the Site without our prior written consent, except as expressly permitted by these Terms.

The Automation Blueprint™

“The Automation Blueprint” is a trademark of Automation Architechs. You may not use this mark or any confusingly similar mark without our written permission.

Client Work Product

Unless otherwise specified in a signed SOW, all custom code, models, workflows, and deliverables created specifically for a client engagement (“Work Product”) shall be owned by the client upon full payment. We retain the right to use general knowledge, skills, techniques, and methodologies developed or refined during engagements, provided such use does not disclose confidential client information.

5. Client Responsibilities

When engaging our Services, you agree to:

• Provide timely access to the information, systems, and personnel necessary for us to perform the Services.
• Review and provide feedback on deliverables within the timeframes specified in the SOW.
• Ensure that any data or content you provide to us does not infringe on the intellectual property rights of any third party.
• Maintain appropriate backups of your data and systems.
• Designate a primary point of contact for project communications.

6. Payment Terms

• Payment terms for Services will be specified in the applicable SOW or service agreement.
• Unless otherwise agreed, invoices are due within 15 days of the invoice date.
• Late payments may incur a fee of 1.5% per month on the outstanding balance, or the maximum rate permitted by law, whichever is lower.
• We reserve the right to suspend Services if payment is more than 30 days overdue.

7. Confidentiality

Mutual Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of an engagement (“Confidential Information”). This includes business strategies, technical data, customer information, pricing, and any materials marked as confidential.

Exclusions

Confidential Information does not include information that:

• Is or becomes publicly available through no fault of the receiving party.
• Was already known to the receiving party before disclosure.
• Is independently developed by the receiving party without use of the disclosing party's Confidential Information.
• Is lawfully received from a third party without restriction on disclosure.

Duration

Confidentiality obligations survive for a period of two (2) years after the termination of the applicable engagement, unless a different period is specified in the SOW.

8. Warranties and Disclaimers

Our Warranty

We warrant that our Services will be performed in a professional and workmanlike manner consistent with generally accepted industry standards. If any deliverable fails to conform to the specifications in the SOW, we will, at our option, re-perform the non-conforming Services or refund the fees attributable to the non-conforming portion — provided you notify us in writing within 30 days of delivery.

Site Disclaimer

THE SITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

AI Disclaimer

AI-powered systems, by their nature, may produce unexpected results. While we design our solutions to be reliable and accurate, we do not guarantee that AI outputs will be error-free in all circumstances. We recommend that clients maintain appropriate human oversight of AI-assisted processes, particularly for critical business decisions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• IN NO EVENT SHALL AUTOMATION ARCHITECHS, ITS FOUNDERS, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE SITE, OR OUR SERVICES — WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
• OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR ANY ENGAGEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO AUTOMATION ARCHITECHS DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Automation Architechs and its founders, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Site or Services in violation of these Terms.
• Your violation of any applicable law or regulation.
• Any data or content you provide that infringes the intellectual property or other rights of a third party.
• Your negligence or willful misconduct.

11. Termination

Site Access

We reserve the right to restrict or terminate your access to the Site at any time, for any reason, without notice.

Service Engagements

Either party may terminate a service engagement as specified in the applicable SOW. In the absence of specific termination provisions:

• Either party may terminate with 30 days written notice.
• Either party may terminate immediately if the other party materially breaches these Terms or the SOW and fails to cure the breach within 15 days of written notice.
• Upon termination, you are responsible for payment of all Services performed up to the date of termination. We will deliver all completed and in-progress Work Product upon receipt of payment.

12. Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Informal Resolution

Before initiating any formal dispute resolution, the parties agree to attempt to resolve any dispute informally by contacting each other directly. We will make good-faith efforts to resolve any concern or dispute within 30 days.

Arbitration

If a dispute cannot be resolved informally, it shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

13. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any applicable SOW, constitute the entire agreement between you and Automation Architechs regarding the subject matter herein.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including natural disasters, pandemics, government actions, or internet outages.

14. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will update the “Last Updated” date at the top of this page. We encourage you to review these Terms periodically. Your continued use of the Site after any changes constitutes your acceptance of the updated Terms.
